Volunteer Ottawa is pleased to bring you this free learning opportunity in partnership with Community Legal Education Ontario (CLEO) and made possible thanks to funding from the Law Foundation of Ontario. This session will be offered in English. Please make sure to register to participate in this session.


On October 19th, 2021 the province of Ontario proclaimed the new Ontario Not-for-profit Corporations Act (ONCA).  Nonprofits have until October 18th, 2024 to update their bylaws and letters patent to comply with ONCA. In this half-day working session, participants will work through their bylaws and letters patent and a special workbook to identify what they might want or need to change in order to comply with ONCA.

Who should attend? 

  • Directors of Ontario-incorporated nonprofits.
  • Executive directors or other staff members working as board liaisons of Ontario-incorporated nonprofits.
  • Other leaders with governance responsibilities in Ontario-incorporated nonprofits.

Who shouldn’t attend? 

  • Leaders or representatives of: organizations that are not themselves incorporated but part of a larger organization or government; organizations incorporated under Canada Not-for-Profit Corporations Act; organizations incorporated under Co-operative Corporations Act or other statutes outside of Ontario.

How to attend? 

This half-day workshop will be hosted live online over the Zoom platform on April 26th, 2023 (from 9:30 to 11:30 am, and from 1:30 to 3:30 pm). To receive the Zoom link, please register by clicking on the “Join Now” button and proceed to checkout. 

What you will need 

  • Learners should join this session from a Zoom-capable device and be able to participate through voice or chat. Registered participants will receive the link one week in advance. 
  • Participants in this session will need to bring a copy of their bylaws and letters patent to work on (digital or physical copy).
  • We will ask learners to fill an pre-session preparation survey.

What you will learn 

By attending this session you will :

  • Be able to work through your bylaws in real time with the guidance of an expert.
  • Have the opportunity to update your bylaws to the standards set by the 2021 ONCA.

About your facilitator

Benjamin Miller (he/him) is a staff lawyer on the Nonprofit Law Ontario project of Community Legal Education Ontario (CLEO) where he focuses on the legal needs of nonprofits and charities. Over the past 5 years at CLEO, Benjamin has answered over a thousand nonprofit law questions and developed an online interactive bylaw builder for the ONCA. Benjamin also works at the Ontario Nonprofit Network and has worked at the Canada Revenue Agency in the past. Benjamin holds a JD and MPP from the University of Toronto and an MA in political theory from the University of Ottawa.
